DETROIT, Mich. — Detroit-based DTE Energy is shedding its non-utility DTE Vantage arm in a cash deal worth nearly $3 billion.

Buyers are institutional funds advised by J.P. Morgan Asset Management’s Global Infrastructure team. An SEC Form 8-K says DTE locked in the purchase agreement on Nov. 1 with Velocity BidCo LLC for every equity stake in DTE Energy Resources, LLC, the subsidiary that trades as DTE Vantage.

The filing pegs the headline price at $2,970,672,573 before closing-day tweaks for cash, debt, working capital and related items. Directors gave unanimous approval on Oct. 30. Vantage’s portfolio spans dozens of projects in more than a dozen U.S. states plus one Canadian province and supports hundreds of workers in renewables and custom energy work.

Company leaders frame the sale as a pivot toward the regulated electric and gas utilities that serve metro Detroit customers, with proceeds meant to back utility investment and bill affordability. Closing is aimed at the first half of 2027 once regulators sign off.

DTE’s main offices remain at One Energy Plaza in Detroit. Velocity BidCo is controlled by the J.P. Morgan-advised investor group named in the filing.
